ENTER INTO CO-REFERRAL AGREEMENT

directory work together to expand distribution, provide additional merchant benefits

CHEVY CHASE, Md (November 1, 2006) ValueStar, the leading online aggregator of consumer ratings of service businesses in the San Francisco Bay Area, and Chase Paymentech Solutions, the nation's leading provider of merchant credit card acquiring services, have signed a multi-year co-referral agreement. Under the agreement, Chase Paymentech will offer ValueStar merchants special rates on card acceptance and other account features if signing with Chase Paymentech for their credit card services. The ValueStar program will be offered initially to Chase Paymentech merchants in the Bay Area and over time to merchants in other metro areas as ValueStar expands.

The co-referral agreement represents an opportunity for both companies to expand their distribution strategically. ValueStar's Customer-Rated businesses are concentrated in local services such as home-related repair and maintenance contractors, auto repair, and various health and professional services, which historically have not encouraged customers to use credit cards.
Under the terms of the relationship, merchants applying for or already using one company's services will have no obligation to use the other company's services.
